8 Mevcut Sermaye ve Yıl İçinde Yapılan Sermaye Artırımları The Present Capital and the Capital Increases throughout the Year Turins Sigorta A.Ş., Türk Ticaret Kanunu ( TTK ) hükümlerine göre 11 Şubat 2013 tarihinde ,00 TL sermaye ile kurulmuş, 14 Mart 2013 te tescil edilmiş Anonim Şirket statüsündedir. Şirket faaliyetlerini, 5684 Sayılı Sigortacılık Kanunu ile belirlenen esaslara göre yürütmekle birlikte, Ekim 2013 itibarıyla poliçe üretimine başlamıştır. Şirket in 25 Haziran 2013 tarihinde yapılan genel kurul toplantısında sermayenin TL den TL ye çıkarılmasına karar verilmiş, sermaye artırımının gerçekleşmesi için gerekli olan TL ortaklar tarafından payları oranında nakden ödenerek tamamlanmıştır. 31 Aralık 2013 Turins Sigorta A.Ş. has been established as a joint stock company with a capital of ,00 TL on the date 11 February 2013 and has been registered on the date 14 March 2013 as in accordance with the governing provisions of Turkish Commercial Code. 11 Sigortacılık sektörünün, turizm sektörü içerisindeki yeri ve öneminden hareket ederek kurulan TURİNS Sigorta A.Ş., amaçlanan hedefleri belirleyecek, TÜRSAB ın sektördeki güçlü ve lider konumuna paralel hedefleri doğrultusunda gelişimini tamamlayarak faaliyetlerini yürütecek ve vizyonunu bu doğrultuda oluşturacaktır. TURİNS Sigorta A.Ş., which has been established considering the place and significance of insurance industry within the tourism industry, shall determine its objectives which will be in parallel with the leading position of TÜRSAB and shall perform all its activities and vision in line with such objectives. Dear Shareholders, The tourism industry proceeds to a more significant position in the global economy year by year and known to contribute directly to the global tourism incomes via accommodation, travel and transport segments whereas clearly seen to be in very close interaction with communication, construction, agriculture and public sectors. Accordingly, we may observe the tourism industry to contribute on global economy once more via direct employment influences by means of relations with both itself and any field affecting the Gross Domestic Product. Considering the fact that the Gross Domestic Product total contribution of tourism to the global economy in the last 10 years has grown faster than the direct contributions of very GDP industries, we may claim that the relation of the tourism with other industries has even more strengthened. Thus, thanks to the natural, historical and cultural richness of our country, Turkey shall inevitably work for more share in global tourism industry through efforts to strengthen its current position and attempts to accomplish the specified targets. TÜRSAB, leave aside its purpose an functions governed under the Law, has assumed a pioneer role covering not only the tourism agencies but also the entire tourism industry aiming to stimulate the tourism development of Turkey. TÜRSAL pioneers in history, culture, environment and accommodation aspects of tourism from time to time and adds new objectives to the existing ones which require new goals as well as stratehies indeed. Thus, TÜRSAB is an opinion leader body and continues to contribute to any aspect of tourism industry uninterruptedly. When we examine the national tourism and national main indicators in combination, we may observe an increase in tourism revenues clearly. However, while speaking of a positive increase in any segment of tourism, one should understand the accompanying insurance industry, which provides assurance to the most important needs of tourism (trust), will also inevitably extend its respective capacity. The insurance shall make serious contributions to the tourism agencies and the industry. However, the most important advantages shall be obtained by the insured parties. to the level in the developed countries basing on the consumer rights which means a kind of regulation applicable to the industry requiring improvement and institutionalization of the agencies and, accordingly, bringing out maximum satisfaction of the clients since the loss of prestige due to the client complaints would be resolved in a fast manner. When we look from the side of the consumer, the insurance shall enable them to feel totally safe while travelling which shall bring proper and early holiday plans, problemfree travelling and maximum client satisfaction. Thanks to the respective contributions to the insured parties and travelling agencies by the insurance, the assurance culture shall be rooted and the national tourism shall be under protection which, in turn, contribute to the development of the industry. Whereas, other industries in close interaction with tourism shall be assured and stimulated for improvement and growth. The aforementioned advantages but also lighten the current requirements for the tourism industry and travel agencies which should be used by the insurers. The 2023, i.e. 100th Year Anniversary, Targets of Republic of Turkey placed for each industry has been declared as 54 billion Dollars tourism income. This clears out that insurance activities in relation with tourism industry shall also contribute to the 2023 Targets of insurance industry itself. Consequently, TURİNS Sigorta A.Ş., which has been established considering the place and significance of insurance industry within the tourism industry, shall determine its objectives which will be in parallel with the leading position of TÜRSAB and shall perform all its activities and vision in line with such objectives. I hope that Turins Sigorta A.Ş. shall produce favorable results both for the tourism industry and the insurance industry and once more state my sincere wishes for this general assembly to bring out all the goods to our company and business partners. When we assess the title by means of travelling agencies; the insurance will ensure the agencies to pull up their service frames

13 Tüm branşlarda ruhsatımız olmasına rağmen önceliğimiz seyahat sigortaları konusunda uzmanlaşmak ve ülkemizde örneği çok az olan İhtisas Sigortacılığı nı hayata geçirmektir. İnanıyorum ki bu uzmanlaşma, bizi alanında sektör lideri olmaya götüren itici güç olacaktır. Despite we hold licenses for all the branches, our priority is to specialize in travel insurances and to concrete the Specialty Insurance in Turkey which, at the moment, demonstrates a very few examples. I believe that such specialization shall be the stimulus which will make us the leader of the industry. Dear Turins Sigorta Family and our Esteemed Shareholders, According to the 2013 figures, the population of Turkey exceeds 76 million people. This figure constitutes the 14,8% of the total of 27 EU countries. Turkey has the second biggest population following Germany, among 27 EU countries, and thus, is a significant trading potential for EU. When considered the Turkey s population growth of 1,30% in 2013 compared to the 0,02% of Germany, it is inevitable that Turkey shall have be the most crowded country within 15 years among EU countries. Despite Turkish insurance industry has a great potential, it is clear that we are far from the desired levels when examined the insurance figures of Europe and the world. As well as the economic reasons, the insurance industry faces difficulties to reach to the desired levels due to sociological and psychological factors. One of the main targets of the insurance industry is to increase the awareness of the society for the concept of being assured/insured. Besides, the arrangements of the government in several areas continue to be the most important stimulating factor for such objective. The tourism costs, composing of Turkish residents visiting other countries, is about 7,5 billion Dollars annually and per capita abroad expenses is around 854 Dollars level. In parallel with the applicable Law Nr related to the Package Tours in tourism industry, the travel agencies have tended to increase in numbers; however a much bigger increase is expected together with the Law Nr related to the Travel Agencies. The potential of Turkish insurance industry in travel agency branch and other branches has been the most important reason which has encouraged TÜRSABL to establish a totally Turkish capital insurance company i.e. Turins Sigorta. The project team which worked for the preparations of Turins Sigorta has determined the insurance industry, tourism industry and Turkish economy by means of vision and mission of the company to be organized and accordingly has specified all the respective expectations. In line with the applicable legal regulations; a company transparent to the stakeholders and public, using a suitable IT infrastructure to meet the ever changing technological innovations and adaptable for the products to be marketed and having distribution channel sales strategies has been organized and a client oriented marketing policies are accepted for the company. The prepared business plan is the work of a team, who are entirely employed with Turins Sigorta at the moment, composing of specialists in their own fields and having required knowledge and experience. These colleagues have performed a quite long research and preparations period and have specified our business plan. A months taking very systematical working is performed in the preparations stage of the company to determine the infrastructure and upperstructure needs of a modern company including information technologies hardware and software, job designation and qualities of the personnel to be employed, claim procedures, geographical distribution of production network and respective policy business traditions. The general directorate is structured in a very short period and all the required actions have been realized to start a new insurance company actually in business. Following all such preparations, the company has been officially registered on the date 4 March 2013 and has actually started business on the date 1 October 2013 after all the required licenses have been obtained. The premium production in 2013, which has been realized only by tursertursav i.e. an affiliate of our main shareholder Turkey Travel Agencies Union (TÜRSAB), is worth to attention since points out for the future potential of Turins Sigorta. Our prioritized target as Turins Sigorta is to become one of the most important players of tourism insurances market in Turkey being the 6th most visited country of the world and facing a domestic and foreign tourism activity each year originating from millions of Turks and foreigners. The company has entered in a specialization process for such objective including the personnel structuring and the product range, whereas, we aim to bring a new breath to the Turkish insurance industry which could have not reached the desired levels in travelling insurance up to now. Thanks to the recent legal arrangements, our company targets to rise travel insurance figures to the figures of other branches and has an experience level for travel insurance branch that may be deemed as a proud reference for both the domestic and foreign travel insurances. Despite we hold licenses for all the branches, our priority is to specialize in travel insurances and to concrete the Specialty Insurance in Turkey which, at the moment, demonstrates a very few examples. I believe that such specialization shall be the stimulus which will make us the leader of the industry. Despite the growth of Turkish tourism industry, the insurance needs and solutions for tourism has not demonstrated a parallel progress. The support and synergy of TÜRSAB, which is fully aware of the insurances required by the Turkish tourism industry, shall strengthen our efforts and important mission of extending travel insurances to the base of the tourism industry and I once more express that we shall organize all our acts and efforts with such consciousness. I have full faith that we shall reach our targets in the future periods thanks to our strong management structure, information technology capabilities and service approach towards our clients. Our shareholders, managers, personnel and clients have assisted us in our dream of forming a brand new nonlife insurance company in Turkey and I would like to serve my sincere appreciations for such dedication. Turizm sektöründen önce inşaatçılık, müteahhitlik, taşımacılık, ulaşım, sigortacılık gibi bir dizi alanda faaliyet gösteren Ulusoy, 1981 yılında TÜRSAB Yönetim Kurulu Üyesi ve Muhasip Üye olarak görev yaptı döneminde TÜRSAB Yönetim Kurulu Başkanlığı görevine geldi, 3 dönem aradan sonra 1999 da yeniden Başkan oldu. TEMA Vakfı nda Yönetim Kurulu Üyesi, Türkiye Turing ve Otomobil Kurumu nda Yönetim Kurulu Başkanı olarak çalıştı. Halen Türkiye Çevre Eğitim Vakfı Danışma Kurulu, SKAL International Klüp, Türkiye Turing ve Otomobil Kurumu ve TOBB DEİK in Yönetim Kurulu Üyesi olan Ulusoy; TOBB Turizm Sektörü Meclis Başkanı, UKTAŞ (Uluslararası Kongre Sarayı Tesisleri İşletmeciliği), Efes Kongre MerkeziKuşadası ve TÜRSAB Yönetim Kurulu Başkanı olarak görev yapıyor. Recep KOÇAK Yönetim Kurulu Başkan Yardımcısı & Genel Müdür Vice Chairman and General Manager Recep Koçak, 1970 yılında İzmit de dünyaya geldi. İlk ve orta öğrenimini İzmit te tamamlayan Koçak, 1991 yılında İstanbul Üniversitesi İktisat Fakültesi nin İktisat bölümünden mezun oldu yılında Başbakanlık Hazine Müsteşarlığı Sigorta Denetleme Kurulu nda Uzman Yardımcısı olarak çalışma hayatına başlayan Koçak, yılları arasında Sigorta Denetleme Uzmanı olarak kamudaki görevine devam etti yılında Sigortacılık konusu üzerine araştırmalar ve incelemeler gerçekleştirmek üzere geçici bir süre ile İngiltere de görev aldı. Rıza Tevfik EPİKMEN Yönetim Kurulu Üyesi Director 1965 yılında İstanbul da doğan Rıza Tevfik Epikmen, Saint Joseph Fransız Lisesi ve Boğaziçi Üniversitesi Tarih Bölümü nden mezun oldu yılında rehber olarak turizme adım atan Epikmen, sektörel hizmetlerini halen Yönetim Kurulu Başkanı olduğu Trans Orient seyahat acentasında sürdürmektedir döneminde TÜRSAB Yönetim Kurulu Üyeliği, döneminde TÜRSAB Genel Sekreterliği döneminde TÜR SAB II. Başkanlığı görevini yürüttü. Turins Sigorta Yönetim Kurulu üyeliğinin yanı sıra UKTAŞ, Lütfü Kırdar Kongre Merkezi Yönetim Kurulu Üyesi ve Türkiye Çevre Eğitim Vakfı TURÇEV Yönetim Kurulu Başkanıdır. He has been graduated from Saint Joseph High School and Boğaziçi University History Department. The started his career as professional guide in 1987 and continues his industrial services with Trans Orient Travel Agency for which he still acts the vice chairman. He performed as TÜRSAN Director between 1999 and 2001, TÜRSAB General Secretary between 2001 and 2003 and TÜR SAL Vice President between 2003 and Besides being a Director for the Turins Sigorta, Rıza TEvfik Epikmen acts as the director for UKTAŞ Lütfi Kırdar Congress Center and is the chairman of TURÇEV (Turkey Environment Education Fund).
