Limited Partial Positive Ara dönem finansal bilgilere ilişkin sınırlı denetim raporu Beşiktaş Futbol Yatırımları Sanayi ve Ticaret A.Ş. Yönetim Kurulu'na: Giriş Beşiktaş Futbol Yatırımları Sanayi ve Ticaret A.Ş. (Şirket)'nin ve bağlı ortaklıklarının (hep birlikte "Grup" olarak anılacaktır) 30 Kasım 2016 tarihli ilişikteki konsolide finansal durum tablosunun, aynı tarihte sona eren altı aylık dönemine ait konsolide kâr veya zarar ve diğer kapsamlı gelir tablosunun, konsolide özkaynaklar değişim tablosunun ve konsolide nakit akış tablosu ile önemli muhasebe politikalarının özetinin ve açıklayıcı dipnotlarının sınırlı denetimini yürütmüş bulunuyoruz. Grup yönetimi, söz konusu ara dönem finansal bilgilerin Türkiye Muhasebe Standardı 34, Ara Dönem Finansal Raporlama Standardı'na ("TMS 34") uygun olarak hazırlanmasından ve gerçeğe uygun bir biçimde sunumundan sorumludur. Sorumluluğumuz, yaptığımız sınırlı denetime dayanarak söz konusu ara dönem finansal bilgilere ilişkin bir sonuç bildirmektir. Sınırlı denetimin kapsamı Yaptığımız sınırlı denetim, Sınırlı Bağımsız Denetim Standardı (SBDS) 2410 "Ara Dönem Finansal Bilgilerin, İşletmenin Yıllık Finansal Tablolarının Bağımsız Denetimini Yürüten Denetçi Tarafından Sınırlı Bağımsız Denetimi"ne uygun olarak yürütülmüştür. Ara dönem finansal bilgilere ilişkin sınırlı denetim, başta finans ve muhasebe konularından sorumlu kişiler olmak üzere ilgili kişilerin sorgulanması ve analitik prosedürler ile diğer sınırlı denetim prosedürlerinin uygulanmasından oluşur. Ara dönem finansal bilgilerin sınırlı denetiminin kapsamı; Bağımsız Denetim Standartlarına uygun olarak yapılan ve amacı finansal tablolar hakkında bir görüş bildirmek olan bağımsız denetimin kapsamına kıyasla önemli ölçüde dardır. Sonuç olarak ara dönem finansal bilgilerin sınırlı denetimi, denetim şirketinin, bir bağımsız denetimde belirlenebilecek tüm önemli hususlara vâkıf olabileceğine ilişkin bir güvence sağlamamaktadır. Bu sebeple, bir bağımsız denetim görüşü bildirmemekteyiz. Şartlı sonucun dayanakları

3 1) Şirket'in 28 Aralık 2012 tarihinde yapılan 1 Haziran Mayıs 2012 faaliyet dönemine ait olağan genel kurul toplantısında 1 Haziran Mayıs 2012 dönemi faaliyetlerine ilişkin bilanço ve karzarar hesapları kabul ve tasdik edilmekle birlikte bahsi geçen dönemde görev alan yönetim kurulu başkanı ve üyelerinden bir kısmı ibra edilmemiştir. Söz konusu durumun ortaya çıkarabileceği sonuçların ilişikteki konsolide finansal tablolar üzerindeki etkisini tespit etmemiz mümkün olamamıştır. 2) Şirket, 31 Mayıs 2012 tarihinden önce futbolcu ve teknik direktör ücretleri için stopaj hesaplamamakta ve beyan etmemekteydi. 1 Haziran 2012 tarihinden itibaren ise Şirket, futbolcu ve teknik direktör ücretleri için stopaj hesaplamaya ve beyan etmeye başlamıştır. Bu kapsamda Şirket ilişikteki finansal tablolarında henüz vergi incelemesinden geçmediği 1 Haziran 2011 ile 31 Mayıs 2012 tarihleri arasındaki döneme ilişkin gerçekleşmiş ancak beyan edilmemiş futbolcu ve teknik kadro ücretlerine ilişkin TL stopaj ve gecikme faizi karşılığı ayırmış olmakla beraber, ilişikteki finansal tablolar söz konusu vergilerin zamanında beyan edilmemesi sonucunda ortaya çıkması muhtemel vergi cezalarına ilişkin ilave bir karşılığı içermemektedir. Şartlı sonuç Sınırlı denetimimize göre, yukarıda şartlı sonucun dayanakları paragraflarında belirtilen hususlar nedeniyle ortaya çıkabilecek düzeltmelerin olası etkileri dışında, ilişikteki ara dönem konsolide finansal bilgilerin, tüm önemli yönleriyle, TMS 34'e uygun olarak hazırlanmadığı kanaatine varmamıza sebep olacak herhangi bir husus dikkatimizi çekmemiştir. Dikkat çekilen hususlar 1) İlişikteki finansal tablo dipnotu 2.5'te Grup'un 30 Kasım 2016 tarihi itibariyle kısa vadeli yükümlülüklerinin dönen varlıklarını TL (31 Mayıs TL) aştığına ve 30 Kasım 2016 tarihi itibariyle geçmiş yıllar zararının TL olarak gerçekleştiğine ve toplam özkaynaklarının negatif TL olduğuna ve söz konusu durumun, Türk Ticaret Kanunu (TTK)'nun 376. Maddesi'ne göre de borca batıklık olarak değerlendirilmesi nedeniyle Şirket Yönetim Kurulu'nun TTK'nın 376. Maddesi'nde belirtilen tedbirleri alması gerektiğine ilişkin yaptığı açıklamalara dikkat çekmek isteriz. Bu şartlar, ilgili dipnotta açıklanan diğer hususlar ile birlikte, Şirket'in sürekliliğinin devamına ilişkin ciddi şüpheler oluşturabilecek önemli belirsizliklerin bulunduğunu göstermektedir. Sonucumuz bu konuya ilişkin ilave bir şart içermemektedir. 2) SPK'nın 28 Mart 2008 tarih 2008/13 sayılı haftalık bülteninde yayımlandığı üzere; faaliyet konusu sportif faaliyetler olan halka açık şirketlerin, ilişkili taraflara kullandırabileceği fonların toplam tutarının, bir önceki hesap dönemi karından söz konusu ilişkili tarafların tamamına dağıtılmasına karar verilen kar payının %50 'sinden fazlasını aşamayacağı hükmü getirilmiş olmakla beraber, ilişikteki 30 Kasım 2016 tarihli finansal durum tablosunda ve ayrıca 13 numaralı dipnotta açıklandığı üzere, Şirket'in 30 Kasım 2016 tarihi itibariyle ana ortağı olan Beşiktaş Jimnastik Kulübü Derneği'nden TL (31 Mayıs 2016: TL) tutarında ticari olmayan alacağı bulunduğuna ve bu alacağın takip eden dönemlerde nasıl kapatılacağına ilişkin yapmış olduğu açıklamalara dikkat çekmek isteriz.
