Sayfa 2 / 8 1. Services provided by the contractor The services to be provided by Teknik Güvenlik ve Kalite Denetim Tic. Ltd. Şti. are listed below: Homologation and Homologation Services: Homologation activities, such as: o Testing acc. to applicable national and international standards o Preparation of Test reports Homologation Services, such as: o Documentation o Management of test procedures o Consultation regarding homologation projects, such as applicable standards and procedures o Support, complete handling of homologation projects Testing and engineering Services: Comfort and Dynamics Safety and Electronics Emissions and Environment Services as mentioned above will be provided by qualified experts. Customer preferences regarding specific employees will be taken into account as far as this is in accordance with internal capacity plans. OTOKAR applications may be shifted between Automotive GmbH and TGK without further notice to optimize the service quality. Services as defined in the Annex will be provided after concrete request of the customer. Scheduling will normally be agreed directly between the responsible experts and the requesting person or department in OTOKAR. Tests will be carried out in laboratories and test tracks or in sufficient external or customer owned laboratories and facilities. In case of use of external laboratories or facilities (witness testing) it must be ensured that these laboratories fulfil the requirements of DIN EN ISO 17025. Related documentation needs to be provided to any Approval Authority prior to testing. Related cost is not automatically included in the services mentioned below and may be charged separately. 2. Quality 2.1. ensures that OTOKAR applications for certification of vehicles or their systems will be processed within 5 working days, as far as all necessary test results are available and the documentation folder is complete and correct (based on legal standards as well as guidelines and interpretations supplied by ). This guarantee is limited to 15 applications within two weeks. 2.2. will provide an FTP-server for all OTOKAR applications. Applications being provided by email or other means are not covered by the guarantee above. 2.3. informs OTOKAR in written form (e.g. by email) whenever any application will be forwarded to an Approval Authority. The information will be directed to the unit in charge of the application. Once any application is forwarded to an Approval Authority, it can generally not be modified any further by the applicant.
Sayfa 3 / 8 3. Cost 3.1. Services as defined in this quotation will be invoiced by the company in charge1. 3.2. As long as there are no project related deviating agreements, the prices listed in the Annex will apply. 3.3. Prices will be charged in -currency or TL (based on the exchange rate valid at the time of invoicing). 3.4. The above price is subject to the statutory rate of value-added tax (VAT) valid at the time of invoicing. 3.5. The prices as defined in this quotation will be charged monthly, based on delivered services. OTOKAR might choose between certain standard invoice layouts which will be provided in time. Individual invoicing processes such as non-standard layouts or one-by-one invoicing need to be agreed in advance and may lead to a re-calculation of the service prices. 3.6. Should the customer request changes in the programme or further services, the costs incurred thereby will be added to the above price. 3.7. In case does not process any correct test report application in the guaranteed time as mentioned under item 2 (Quality), the price for this particular test report will be downgraded by one category (Annex A) each 5 working days. 4 Miscellaneous 4.1. This binding quotation shall be valid until 01 January 2016. 4.2. The General Terms and Conditions of Business of TGK shall apply for related services. 4.3. In case of any dispute, İstanbul Courts and Execution Offices will have jurisdiction. 4.4. Before or during the tests, damage possibility on your vehicles/components/systems is under manufacturer rensposibility. Please make your insurance for your test vehicles. 4.5. All or some of tests could be done at laboratories which have an agreement between. 4.6. During the inspection, all related documents and information will not be shared with third parties. 4.7. Hereby, the quotation will not be shared by third parties or competitors of, in case of comfirmation or not. Otherwise, the customer is solely responsible civil and criminal penalties and meets the related damage of reputation. 4.8. If the quotation approved, in case of significant changes related to the points listed below, the manufacturer have to report these informations Management Service GmbH immediately. - Legal, business or entity, or ownership status - Contact information and/or manufacturer s/assembly plant s adress 4.9. Travelling to other places will be charged on the base of the daily rates for testing activities plus applicable travel expenses like e.g. accommodation, tickets, rental car and toll. The below hourly rate is valid for testing time, office time (report) and travelling time. Other expenses will be charged additionally.
